These terms describe how Artem Software operates and what you agree to when using it. They are written in plain English for transparency. Specific clauses (especially around liability) should still be reviewed and finalised with a UK-qualified solicitor before being treated as the final contractual text.
1. Who these terms are between
These terms apply between you and Perrie Fearon, trading as Artem Software, a UK-based sole trader (“Artem Software”, “we”, “us”, “our”). Trading correspondence and legal notices can be sent to info@artemsoftware.com; a trading address is available on request via the same email.
If you use Artem Software for a company, partnership, or other organisation, you confirm that you are authorised to accept these terms on its behalf.
2. What Artem Software is
Artem Software is a software-as-a-service platform for trades businesses, starting with painters and decorators. Features may include CRM, customer and lead management, jobs, estimates, invoices, deposits, payments, communications, scheduling, public customer links, review collection, uploads, reporting, and optional integrations.
3. Your account and team access
- You must provide accurate account details and keep them reasonably up to date.
- You are responsible for keeping login credentials secure and for controlling who is invited into your workspace.
- The account owner or workspace administrator is responsible for team permissions, internal access, and actions taken through that workspace.
- You must tell us promptly if you believe your account has been compromised or used without permission.
4. Your data and your responsibilities
You keep ownership of the business data and customer data you upload or enter into Artem Software.
- You are responsible for making sure you have the right to collect, store, use, and share your customers' and contacts' data.
- You are responsible for the accuracy of job details, notes, messages, estimates, invoices, payment information, tax settings, and customer communications created through your workspace.
- Where Artem Software processes customer and job data on your behalf, you remain the controller of that data and Artem Software acts as processor where applicable.
5. Public links and customer-facing tools
Artem Software may provide public links for estimates, invoices, reviews, intake forms, info requests, customer portals, and payment flows.
- You are responsible for sharing those links only with intended recipients.
- You must not use public links to mislead customers, impersonate others, or expose information to people who should not receive it.
- You must not attempt to scrape, attack, bypass, or automate access to public-link flows in a way that is abusive or outside normal use.
6. Payments, billing, and third-party services
Some Artem Software features rely on third-party providers such as payment, email, SMS, hosting, analytics, storage, and integration services. Where those providers are enabled, their services form part of how Artem Software operates, but they remain third-party services.
- Payment processing, subscription billing, deposits, and connected payout flows rely on Stripe. Your card details are collected and stored by Stripe and not by Artem Software.
- Messaging and notifications may rely on providers such as Resend, Twilio, browser push services, or similar providers, where enabled.
- If a third-party provider is unavailable, some Artem Software features may be delayed, limited, or temporarily unavailable.
6a. Free trial
All plans include a 30-day free trial. To activate the trial, you must provide a valid payment method at signup. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription begins automatically on day 31 and your payment method is charged at the applicable plan rate.
6b. Subscriptions and renewals
Subscriptions auto-renew at the end of each billing period (monthly or yearly, depending on the plan you chose) using the payment method on file. The price at the time of renewal is the price shown for your plan in your billing area. We will give reasonable notice of any material price change before it takes effect.
6c. Promotional codes
Promotional codes (such as the FOUNDERcode shared during early-access outreach) provide a discount as specified at the time of redemption — for example, 50% off the standard plan rate for the first three months. Once the promotional period ends, the standard plan rate resumes. Promotional codes are non-transferable, may be limited in availability, may be subject to eligibility checks, and may be withdrawn or changed at any time before redemption.
6d. Cancellation and refunds
You can cancel your subscription at any time from Settings → Billing → Manage subscription (which opens the Stripe customer portal). After cancellation, your access continues until the end of the current billing period; your payment method will not be charged again.
We do not provide pro-rata refunds for unused portions of a current billing period. Where the law requires statutory cancellation rights (for example, the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 for consumer customers outside the trader-to-trader exemption), you can exercise those rights by contacting info@artemsoftware.com.
7. Acceptable use
You agree not to use Artem Software to:
- break the law or infringe anyone else's rights;
- send spam, unlawful marketing, abusive messages, or fraudulent communications;
- upload malicious code, interfere with the platform, or try to bypass security controls, rate limits, or access restrictions;
- misuse public links, customer upload flows, payment flows, or review flows;
- copy, reverse engineer, or resell the service except where the law expressly allows it or we have agreed otherwise in writing.
8. Artem Software is a tool, not legal, tax, or accounting advice
Artem Software helps businesses create and manage operational records. It is not a law firm, an accountant, a tax adviser, or a regulated payment adviser.
- Estimates, invoices, terms text, review tools, tax screens, and other outputs are provided as practical software tools only.
- You remain responsible for checking the accuracy, suitability, and legal or tax effect of anything you send, agree, file, or rely on.
- If you need legal, accounting, tax, or regulated financial advice, you should obtain it separately from a qualified professional.
9. Availability and support
Artem Software aims to provide a stable and secure service, but it does not promise uninterrupted availability. Maintenance, bugs, provider outages, internet issues, abuse controls, or security incidents may affect access from time to time.
We may release updates, remove features, add features, or change how parts of the service work, provided we do not do so in a way that is deliberately misleading about the core nature of the product.
10. Suspension and termination
We may suspend or restrict access if:
- we reasonably believe the service is being misused;
- we need to protect the platform, other users, or the public;
- there is a serious security, fraud, billing, or legal issue;
- you materially breach these terms.
You may stop using Artem Software at any time. If subscriptions or paid plans are active, any cancellation timing shown in your billing area will continue to apply.
11. Intellectual property
Artem Software and its software, branding, documentation, and underlying product design remain our property or the property of our licensors.
We give you a limited, non-exclusive, non-transferable right to use the service for your own internal business purposes during your valid subscription or permitted use period.
If you send feedback, ideas, or suggestions about Artem Software, we may use them to improve the service without paying you for them.
12. Liability
We do not exclude liability where the law does not allow us to do so, including liability for fraud or for death or personal injury caused by negligence.
Subject to that, Artem Software is provided on an “as available” basis. We make reasonable efforts to operate it properly, but we do not promise that it will be uninterrupted, error-free, or suitable for every business use case.
To the extent the law allows, we are not responsible for indirect or consequential loss, loss of profits, loss of business opportunity, or loss caused by inaccurate data entered by users, misuse of public links, or failures of third-party providers.
Any liability cap or final drafting in this section should be reviewed by a solicitor before launch.
13. Changes to the service or these terms
We may update Artem Software and these terms from time to time. If we make a material change, we may give notice in the app, by email, or by another reasonable method.
14. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction over disputes relating to them, unless mandatory law requires otherwise.
